Valid Audio Royalty Free Music License Agreement

This agreement pertains to the WAV and/or MP3 audio file(s) contained within this download (hereinafter "the Music Track"). The Music Track is licensed to you, not sold. All rights not expressly granted in this license are reserved by the copyright holder, Valid Audio.

1. License Coverage

This license is granted to the original purchaser only and is non-exclusive, non-transferable, and non-sublicensable.

The Music Track may be used in your own original audiovisual projects, including but not limited to:

Use as background music in YouTube videos, Instagram reels, and Twitch streams.
Use in video advertisements, commercials, corporate presentations, and trailers.
Use in TV or film productions.
Use on websites and in podcasts.

Commercial Use and Monetization: The use of the Music Track as background music is permitted for both commercial and non-commercial purposes. Monetization of video content that uses the Music Track as background audio is permitted, provided the use complies with the terms of this agreement. This includes monetized content on platforms such as YouTube, Facebook, and Instagram.

2. Prohibited Uses (What You Cannot Do)

The following uses are explicitly prohibited:

Use of the Music Track in live performances, including DJ sets or public stage shows.
Use of the Music Track as a standalone musical work, including uploading to music streaming platforms (e.g., Spotify, Apple Music, YouTube Music).
Inclusion of the Music Track in sample packs, sample libraries, loop collections, or similar competitive products in any format.
Resale, distribution, or transfer of the audio file(s) to any third party.
Registration of the Music Track in content identification systems (e.g., YouTube Content ID, Facebook Rights Manager), especially when claiming exclusive ownership.

3. Modification and Attribution

You are allowed to:

Edit, cut, loop, or shorten the Music Track to fit your specific project.
Use the Music Track in playlists for video livestreams.
Attribution is not required, but always appreciated.

4. Legal and Copyright Notice

The Music Track is protected under international copyright law. Any unauthorized use constitutes a violation of this license and may result in legal action. This agreement is governed by the laws of Germany. The place of jurisdiction is Berlin, unless otherwise required by law.

5. Content ID and Third-Party Claims (Important)

While every effort is made to ensure the Music Track is original, occasional automated Content ID matches may occur on platforms like YouTube or Facebook. These are typically automated processes and do not indicate an actual copyright infringement on your part.

In such cases, revenue from monetized videos may be temporarily held or shared. Please use this license document to dispute any such claims.

6. Identification of Licensed Content

This license applies specifically to the audio file(s) (in WAV and/or MP3 format) that are included in the same ZIP archive as this license document. These file(s) constitute the licensed material ("the Music Track") as defined in this agreement.
